A Labuan company needs a resident director, and a board often needs more than that. ITMC provides two appointments, and they are not the same thing.
A Labuan company needs a resident director from the day it is registered, and that seat cannot sit empty afterwards. Who may hold it is set by the authorities rather than by us. Despite the name, the resident director does not have to live in Labuan or Malaysia, and a foreigner can hold the seat. A board can carry other directors alongside, and that is where the second appointment comes in.
One of our own trust officers takes the resident director seat on your board. We provide this on a selective basis, for licensed entities such as leasing companies.
A separate appointment. One of our wholly owned subsidiaries joins the board, so that director is a company inside the ITMC group rather than a named individual.
A client in Dubai registers a Labuan holding company for two operating businesses in the region. He stays the shareholder. The company still needs a resident director from day one, and he needs to know who can hold that seat.
We tell you what your entity needs on the board before you incorporate, not after.
It sits inside our corporate services, next to the resident secretary and the registered office.
We prepare the appointment and the board paperwork with it.
The appointment and what it covers are agreed in writing before anything is signed.
Letters from the regulator reach someone who acts on them, instead of an inbox nobody reads.
The same trust officer stays on your file, so you are not explaining the structure every year.
The appointments we make are in place when the company is registered.
Where we provide the resident director, it is one of our own trust officers. A nominee corporate director is always one of our own subsidiaries.
The appointment stays in place. We do not rotate people through your board.
You do, as shareholder. The appointment is documented in writing and open to the regulator.
Yes. We handle the paperwork and make sure the seat is never empty while the change goes through.
Tell us what the entity does and we will say what it needs on the board.
