Resident secretary, registered office, nominee director, nominee shareholder, work permit application and support for licensed Labuan entities. Single point of contact, with a named trust officer accountable for your entity.
Every Labuan company is required to have a resident secretary, a resident director and a registered office. Some also appoint a nominee shareholder for confidentiality. We can handle licence applications, work permits and day-to-day correspondence with Labuan FSA on your behalf.
ITMC provides the secretary and registered office as a single managed service, alongside the nominee appointments listed here. You deal with the same team from year to year, the office address stays the same, and your structure is administered with continuity. We have been doing this in Labuan continuously since 1996.
ITMC provides corporate services for Labuan entities, including resident secretary, nominee corporate director, nominee shareholder, registered office, share registrar and transfer agent, communication facilities and work permit support.
The trust officer assigned to your file in Labuan carries regulatory responsibility, signs filings and is the named contact when Labuan FSA, a bank or a counterparty has a question.
Below is what that translates to across a typical year.
Resident secretary, registered office, communication facilities, nominee corporate director, nominee shareholder, licence application support, and work permit and visa assistance. Together with a resident director, these services keep a Labuan entity legally compliant and operationally functioning year-round.
Yes. Section 87(1) of the Labuan Companies Act requires every Labuan company to have at least one resident director. Under section 87(2), that director can be a trust officer of a licensed Labuan trust company or a qualifying natural person. Despite the name, a resident director does not have to live in Labuan or Malaysia, and a foreigner can hold the seat. We provide a trust officer as resident director on a selective basis, for licensed entities such as leasing companies. Separately, our wholly owned subsidiaries are available for appointment as nominee corporate director; that appointment does not replace the resident director.
In Labuan, a nominee shareholder is legally appointed under a declaration of trust to hold company shares for the beneficial owner (BO), and acts only on the BO's direct instructions. While this keeps the BO off the official shareholder register, statutory regulations require the BO to promptly submit all required details to the Registrar of Companies (Labuan FSA).
Yes. ITMC's Labuan office (Tiara Labuan, Jalan Tanjung Batu) serves as the registered office for entities we manage. The registered office is where statutory documents are kept and where Labuan FSA correspondence is delivered.
Yes. We support work permit and visa applications for directors, officers and key staff of Labuan entities we manage. A Labuan company with appropriate substance can support a work permit (typically 2 years, renewable) for expatriate employees and directors, and their qualifying dependents.
The share registrar maintains the official record of shareholders, processes new share issues, records transfers between shareholders, acts as the dividend and interest paying agent, and conducts proxy procedures for shareholder meetings. Essential for any structure with more than one shareholder or with bondholders.
Corporate services are quoted on engagement, based on the scope required (resident secretary, registered office, and whether nominee or work-permit support is included). ITMC provides a written quote before any work begins.
Yes. We prepare and submit applications for licensed Labuan activities such as banking, commodity trading, leasing, money broking, insurance, digital financial services and fund management, and we administer the entity once it is licensed.
A resident director and a nominee corporate director are two different appointments. What each one is, and what we provide.
